Terms and Conditions for Imperial Youth

1. Acceptance of Terms
By accessing or using the services provided by Imperial Youth ("Imperial Youth," "we," "us," or "our"), including online coaching, in-person coaching, and use of our website or related materials (collectively, the "Service"), you agree that you are eligible and have the right and authority to enter into and to be bound by these Terms and Conditions ("T&Cs"). If you do not agree with any part of these T&Cs, you must not use our Service.
2. General Service Description
Imperial Youth provides personalized fitness and nutrition coaching services to individuals aged 16 to 60. Services are delivered through customized diet plans, workout plans, and weekly progress assessment calls.
- Location: Online coaching is available globally. In-person coaching is exclusively available in the suburbs of North Atlanta, Georgia.
- Future Offerings: We plan to sell fitness clothing and equipment starting in 2026. These T&Cs will be updated accordingly upon the launch of those products.
3. Health and Medical Disclaimer
A. Non-Medical Advice:
The content, plans, and advice provided by Imperial Youth are for informational and coaching purposes only and are not a substitute for professional medical advice, diagnosis, or treatment.
B. Client Responsibility:
You acknowledge and agree that:
- You must consult with your physician or other qualified healthcare provider before starting any new diet or exercise program.
- You are solely responsible for your health, safety, and well-being.
- You must immediately cease any activity that causes you pain, dizziness, or severe discomfort and seek medical attention.
- Imperial Youth is not responsible for any health problems or injuries that may result from training programs or nutrition plans.
4. Financial and Payment Terms
A. Fees and Payment:
Coaching services are billed on a monthly basis. All fees are clearly stated at the time of purchase.
B. Commitment Options:
We offer the following commitment periods, with discounted rates applied if the term is paid in full at the start:
- Monthly (No discount)
- 3-Month Commitment (Discounted rate)
- 6-Month Commitment (Discounted rate)
- 12-Month Commitment (Discounted rate)
C. No Refunds Policy:
All payments made for coaching services, whether monthly or upfront for a committed term (3, 6, or 12 months), are non-refundable. This policy is necessary due to the time and effort invested by coaches in creating customized, personalized plans immediately upon enrollment.
D. Cancellations (Monthly Plans):
Clients on the monthly payment plan may cancel their subscription at any time. Cancellation must be requested via email to imperialyouthfitness@gmail.com at least 7 days before the next scheduled billing date.
E. Cancellations (Committed Plans):
Clients who have paid in full for 3, 6, or 12-month terms are not eligible for refunds if they terminate their service early. The service will terminate at the end of the committed term.
5. Intellectual Property and Usage
A. Ownership:
All content, including workout plans, diet guides, text, graphics, logos, and any other materials provided to you as part of the Service, are the sole property of Imperial Youth and its licensors, protected by copyright and intellectual property laws.
B. Limited License:
You are granted a limited, revocable, non-transferable, non-exclusive license to use the materials solely for your personal, non-commercial use as a client of Imperial Youth.
C. Prohibited Use:
You agree not to reproduce, duplicate, copy, sell, resell, exploit or create derivative works of any portion of the Service, use of the Service, or access to the Service for any commercial purpose or out of the scope of this T&C without the prior and express written permission of Imperial Youth.
6. User Conduct
You agree not to use the Service to and agree not to engage in following during your use of the Services (availed either via online platform or in-person coaching):
- Harass, abuse, or threaten Imperial Youth staff or other clients.
- Upload, post, or transmit any offensive, illegal, or harmful content.
- Engage in any activity that interferes with or disrupts the Service.
7. Limitation of Liability
To the fullest extent permitted by law, Imperial Youth and its founder, Advaith Padi, shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses resulting from:
- The use or the inability to use the Service.
- Any personal injury, including death, or property damage resulting from the use of the Service.
8. Indemnification
You agree to indemnify, defend, and hold harmless Imperial Youth and its owner, Advaith Padi, from any and all claims, liabilities, costs, and expenses (including reasonable attorneys' fees) arising in any way from your use of the Service or your breach of these T&Cs.
9. Compliance with Applicable Law
You agree to use the Service in full compliance with all applicable local, state, national, and international laws, regulations, and ordinances. If any part of the Service is found to be in violation of such laws, Imperial Youth reserves the right to take necessary corrective actions, including suspension or termination of your access to the Service, without liability. It is your responsibility to ensure that your participation in the Service does not violate any laws or regulations applicable to you. Imperial Youth agrees to provide the Services in compliance with all applicable legal requirements governing the provision of Services contemplated herein.
10. Termination
Imperial Youth reserves the right to suspend or terminate your access to the Service at any time, with or without prior notice (as applicable on case-to-case basis), if you breach these Terms and Conditions, engage in unlawful activity, or otherwise misuse the Service. Upon termination, all rights granted to you under these T&C will immediately cease, and you agree to immediately discontinue all use of the Service and any materials provided. Imperial Youth may also terminate the Service if required by law, regulation, or governmental order. Any outstanding payment obligations and provisions intended to survive termination (including Intellectual Property, Limitation of Liability, and Indemnification) shall remain in effect after termination.
11. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Fulton County, Georgia to resolve any dispute or claim arising from these T&Cs.
